1. Agreement
These Terms of Service (“Terms”) are a contract between you and IcyBay Industries Inc Limited (“IcyBay”, “we”, “us”).
They cover the website at www.icybay.net, the platform at tms.icybay.net, the Shipper / Transporter app, and the Driver app (together, the “Service”).
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service for a company, you confirm that you are allowed to bind that company.
2. The Service
IcyBay is a digital logistics platform. We help shippers, transporters, and drivers coordinate loads, documents, tracking, and settlement.
We are not the carrier of the cargo unless a separate written contract says otherwise. The transport contract for a load is between the shipper and the transporter (and their drivers) who accept that load.
3. Accounts
You must give true, complete information when you register, and keep it up to date.
You are responsible for your login details, OTP codes, and anything done on your account. Tell us at once if you think someone else has used it.
We may refuse, suspend, or close an account that uses false information, breaks these Terms, or creates a safety, fraud, or legal risk.
4. Shipper responsibilities
Shippers must:
- describe cargo honestly, including weight, type, and any dangerous-goods status
- provide workable pickup and delivery instructions
- make cargo available at the agreed time and place
- pay agreed freight and platform charges on the stated terms
5. Transporter and driver responsibilities
Transporters and drivers must:
- hold the licences, permits, vehicle papers, and insurance required in every country on the route
- keep vehicles roadworthy and suitable for the cargo
- carry out accepted loads with reasonable care and within the agreed time
- upload POD and other required documents promptly
- follow road, border, and customs rules
A transporter is responsible for the conduct of its drivers and the condition of its vehicles.
6. Accepting a load
When a transporter or driver accepts a load on the platform, that acceptance is a binding transport booking for that job, on the rate and conditions shown before acceptance.
Repeated last-minute cancellations, no-shows, or failed deliveries may lead to warnings, lower access to loads, or account suspension.
7. Settlement and fees
The freight amount and any IcyBay platform fee are shown before you accept a load. By accepting, you agree to those amounts.
Settlement is processed after delivery is confirmed and required documents are checked. In the ordinary course this is within about 48 hours, but delays can happen if documents are missing, a dispute is open, or a bank or compliance check is needed.
Unpaid jobs, chargebacks, or unresolved claims may delay account closure or further payouts.
8. Location and documents
Drivers may be asked to share GPS location during an active trip so the shipper and operations team can follow the cargo. Photos, POD, and other job files you upload become part of the trip record.
9. Acceptable use
You must not:
- misuse the Service, scrape it, or interfere with other users
- upload false documents or spoof GPS or delivery status
- use the Service for illegal cargo or unlicensed haulage
- share another person’s account
10. Liability
IcyBay provides the platform. Cargo loss, delay, damage, fines, and roadside incidents are handled under the transport booking and applicable law between the parties to that booking, unless a separate IcyBay contract says otherwise.
To the fullest extent allowed by law, IcyBay’s liability for a claim about the platform itself is limited to the platform fees paid for the specific job in dispute.
We do not exclude liability that the law does not allow us to exclude, including for fraud or for death or personal injury caused by our negligence where that rule applies.
11. Closing an account
You may close your account at any time using the in-app steps or the process on the Account Deletion page. We may close or suspend an account for breach of these Terms. Some trip and payment records are kept where the law requires it — see the Privacy Policy.
12. Changes
We may update these Terms. The new version applies from the “Last updated” date on this page. If you continue to use the Service after that date, you accept the updated Terms.
